Governing Law, Location and Miscellaneous

Separate Agreements

You represent that you are not a resident, user or entity associated with any prohibited state:

You represent that you are not a politically exposed foreign person:

A ‘politically exposed foreign person’ is a person who holds or has held one of the following offices or positions in or on behalf of a foreign state:

  • member of the executive council of government or member of a legislature;

  • ambassador or attaché or counselor of an ambassador;
  • military officer with a rank of general or above;

For example, a Canadian citizen that works for a foreign embassy outside of Canada as an attaché of an ambassador would be considered a PEFP.

Acting as a third party on an account without notifying Graaf is strictly prohibited.

Accounts And Security

Graaf Network Inc. does not warrant that the functions contained in the service provided by the Website will be uninterrupted or error-free, that defects will be corrected or that this service or the server that makes it available will be free of viruses or other harmful components.

As part of the registration process, each user will select a password (“Password”) and Login Name (“Login Name”). You shall provide Graaf Network Inc. with accurate, complete, and updated Account information. Failure to do so shall constitute a breach of this Terms of Use, which may result in immediate termination of your Account.

You may not:

  • Select or use a Login Name of another person with the intent to impersonate that person;
  • Use a name subject to the rights of any other person without authorisation;
  • Use a Login Name that Website, in its sole discretion, deems inappropriate or offensive.

You shall notify Graaf Network Inc. of any known or suspected unauthorised use(s) of your Account, or any known or suspected breach of security, including loss, theft, or unauthorised disclosure of your password. You shall be responsible for maintaining the confidentiality of your password.

Bitcoin

Bitcoin and any other cryptocurrencies purchased or sold are not considered “securities” in Canada and security laws and remedies are not applicable.

We (Graaf Network Inc.) are not responsible or liable for:

  • Changes price after purchase or sale
  • Changes in technology including forks
  • Bugs and errors arising from the underlying technology
  • Bugs and errors arising from wallet technology
  • Loss of funds due to user errors (such as losing access to private keys or sending to the wrong address).
  • Any incorrect information submitted to us which may result in loss of funds or other damages.
  • Loss of funds or damages arising in any manner after services have been rendered.

We are not responsible or liable for any current, retroactive or future actions regarding cryptocurrency that has been forked, including but not limited to: retrieval, sale or compensation.

You are responsible for making your own informed financial decisions and will not hold Graaf Network Inc., it’s directors, shareholders or other affiliated parties liable for any decision, service or sale.

The user must understand the risks with cryptocurrency including but not limited to: absolute loss of all value of the asset, theft of the asset and irreversible loss by sending to an address of which the user does not solely control the private keys of.

Cryptocurrencies and Bitcoin specifically are not protected by insurance or by the government in the case of devaluation or loss.

Services may be a target for malicious activity and security breaches; there is a possible risk of theft or loss.

You take sole responsibility of accurately reporting your taxes to the government of Canada and the jurisdiction in which you report to.

You waive your right to participate in a class action lawsuit or class-wide arbitration against Graaf Network Inc., it’s directors, shareholders and any other representatives.

Quoted prices are not guaranteed to be available, Graaf reserves the right to cancel or modify sales quotes in the case of but not limited to: customer not sending funds in a timely manner, issues with sourcing liquidity, congested networks or technical issues.

Canadian Dollar Balance

Canadian dollar balances held in user accounts is treated as a gift certificate/store credit. Bank transfers are available for Canadian residents, users from other countries can withdraw and deposit their Canadian dollar balance using the Bitcoin buy/sell features.

Security of an account’s personal credentials including two-factor-authentication is solely the responsibility of the user.

It is the users responsibility to be prudent and decide the risk and safety of who to send money to.

We (Graaf Network Inc.) are not responsible or liable for:

  • Unauthorized transfer of dollar balances to another user
  • Unauthorized withdraw of dollars to Bitcoin from your account
  • Loses over money sent to other users
  • Loses, fraud or charge backs to, from or between other users before or after sending money
  • Loses resulting from disputes and arrangements for the transfer of money of Bitcoin outside of our platform or partially involving our platform.
  • Fees incurred via your banking institution upon withdraw
  • Any obligations of the user to file taxes in their appropriate jurisdiction
